General Terms and Conditions (GTC)

1. Scope

(1) These General Terms and Conditions (GTC) apply to all contracts between scheef.tech powered by One Base Ltd (hereinafter referred to as "Provider") and its customers (hereinafter referred to as "Customer").

(2) Differing or contrary conditions of the Customer are not recognized unless the Provider explicitly agrees to their validity in writing.

(3) Individual agreements take precedence over these GTC if made in writing.

2. Services

(1) The Provider offers particularly the following services:

  • Development of websites and custom software
  • SEO optimization
  • Maintenance and management of online shops
  • IT support and IT management for small and medium-sized enterprises

(2) Communication with the Customer occurs via digital channels such as email, WhatsApp, Slack, or phone.

(3) The Provider may employ external freelancers or subcontractors to deliver services.

3. Contract Formation

(1) A contract is concluded through a written agreement or digital confirmation.

(2) Prices, scope of services, and contract duration are individually agreed upon.

4. Payment Terms & Late Payment

(1) Invoices are payable within 14 days of receipt without deductions.

(2) A reminder fee of 10% of the invoice amount (minimum €40) applies if payment is delayed by more than 30 days.

(3) After 30 days of delayed payment, the Provider reserves the right to:

  • Suspend access to delivered services (e.g., websites or software)
  • Cease providing services
  • Terminate the contract immediately and demand full payment of outstanding amounts

5. Usage Rights & Ownership

(1) The Customer obtains unrestricted usage rights to individually developed software and websites, unless otherwise agreed.

(2) Ownership of the software remains with the Provider unless explicitly agreed otherwise.

(3) The Provider may use completed projects and the Customer's corporate design as references unless the Customer explicitly objects in writing.

6. Warranty & Support

(1) Subsequent error corrections are performed exclusively under a separate support contract or for additional fees.

(2) The Provider assumes no liability for:

  • Errors or failures caused by third parties (e.g., hosting providers, server issues)
  • Improper use of software or websites by the Customer

7. Amendments to GTC

(1) The Provider reserves the right to amend these GTC at any time.

(2) Amendments will be communicated to the Customer in a timely manner and apply only to future contracts or upon explicit consent of the Customer.

8. Subcontracting & External Access

(1) The Provider is entitled to engage external freelancers or subcontractors to provide services.

(2) If necessary, the Provider may grant external service providers access to relevant customer data or systems to complete projects.

(3) The Provider remains responsible for fulfilling contractual obligations to the Customer.

9. Data Protection & Confidentiality

(1) The Provider processes personal data, including email addresses, IP addresses, and project-related information, solely in accordance with applicable data protection laws (including GDPR).

(2) The Customer is responsible for the lawful processing of personal data belonging to their own customers.

(3) If necessary for contract fulfillment, the Provider may share customer data with external service providers.

10. Confidentiality

(1) Both parties agree not to disclose confidential information to third parties.

(2) The Provider may use projects as references unless the Customer explicitly objects in writing.

11. Liability

(1) The Provider is liable only in cases of intent or gross negligence.

(2) Liability for damages caused by third parties (e.g., hosting services, payment providers, search engines) or force majeure is excluded.

12. Contract Duration & Termination

(1) Contracts have an individually agreed duration.

(2) The notice period is 30 days before contract expiry unless otherwise agreed.

(3) In case of delayed payment, the Provider may terminate the contract immediately and disable provided services (e.g., software access, websites).

13. Communication & Meetings

(1) Communication primarily occurs via digital channels.

(2) Meetings may be recorded for quality assurance unless the Customer explicitly objects.

(3) Missed or untimely canceled appointments may incur charges.

14. Jurisdiction & Dispute Resolution

(1) Jurisdiction for all disputes arising from this contract is Cyprus.

(2) Parties shall endeavor to resolve disputes out of court initially.
